1. GENERAL RULES
Chapter 1. PURPOSE OF THESE TERMS OF SERVICE.
These terms of service define the provision and use of services through the website “Anytime” (this service) provided by The Jackson Laboratory Japan, Inc. (JAX Japan).
Chapter 2. APPLICATION OF THESE TERMS
(1) JAX Japan will provide this service in accordance with the terms of service stipulated in these terms and customers will use this service in accordance with these terms of service and condition stipulated by JAX Japan.
(2) Any rules and various agreements for use of this service posted on Any Time shall constitute an integral part of these terms of service.
Chapter 3. CHANGE OF THESE TERMS OF SERVICE
JAX Japan may change these terms of service at any time without prior notice. By using this service, customers will be deemed to have agreed to change of terms of service. The new terms of service shall apply to the condition for providing this service after the change of this terms of service.
Chapter 4. DEFINITIONS
(1) ”This website” means Any Time, an online inquiry system provided by JAX Japan
(2) “This service” means online service through this website
(3) “Applicants” means any person or entity that apply to use this service with JAX Japan
(4) “Customers” means any person or entity that register as customers to use this service and use this service
(5) “User” has the meaning ascribed thereto in section 19
(6) “Usage contract” means a contract regarding the provision of this service concluded between the customers and JAX Japan based on these terms
(7) “Login ID” means a code given to the customer by JAX Japan as a code used by the customer to log in to this website.
2. CUSTOMER REGISTRATION
Chapter 5: Applicants need to complete customer registration in order to use the Service which is specified in Article 7.
Chapter 6: Applicants apply for customer registration by submitting the necessary information through this website after accepting these terms of service.
Chapter 7: customer REGISTRATION
(1) After receiving an application for customer registration as stipulated in chapter 6, JAX Japan will determine whether the applicant can be registered as a customer according to the standards of JAX Japan. When JAX Japan approves customer registration, necessary information including the applicant's address, name, telephone number, e-mail address shall be registered in the system of JAX Japan.
(2) At the time of completion of customer registration as stipulated in chapter 7 (1), a usage contract for the use of this service shall be established between the customer and JAX Japan. in accordance with the provisions of these Terms
(3) JAX Japan shall provide the applicant with a login ID after completing the customer registration as stipulated in chapter 7(1).
(4) If the applicant falls under any of the following items, JAX Japan may not approve the application for customer registration or may postpone the approval.
A) When the existence of the applicant cannot be confirmed
B) If the information submitted when applying for customer registration contains false information or is insufficient.
C) If the applicant has used the services provided by JAX Japan illegally, violated the terms of service specified by JAX Japan in the past, or had their customer registration for the Company's services cancelled.
D) If the applicant is an anti-social force, or JAX Japan determine that the applicant has any kind of interaction or involvement with an anti-social force, such as cooperating or participating in the maintenance, operation, or management of an anti-social force through funding or other means.
E) If there are other reasonable grounds for the Company JAX Japan to determine that customer registration is inappropriate.
(5) If you are a corporate applicant and meet the conditions prescribed by JAX Japan, such as when transactions are continuously conducted or when the transaction amount exceeds the standards prescribed by JAX Japan, a basic transaction contract may be concluded separately.
Chapter 8: VALID PERIOD OF CUSTOMER REGISTRATION
Customer registration is valid for 12 months from the last day of December, which comes first after the completion of customer registration.
However, if the customer does not apply for cancellation by the method specified by JAX Japan one month before the expiration date of the customer registration, the same content and conditions will be applied for another 12 months. It shall be automatically updated, and the same shall apply thereafter.
Chapter 9: CANCELLATION OF CUSTOMER REGISTRATION
(1) If JAX Japan determines that the customer falls under any of the following conditions, or if JAX Japan deems the customer to be ineligible, JAX Japan may cancel the customer registration without prior notice or demand to the customer.
A) When the customer orders the inquired product specified in Article 12 (1) after using this service and delays or neglects to fulfill the payment obligation
B) When a customer files a petition for bankruptcy, special liquidation, civil rehabilitation, corporate reorganization, etc., or a petition for bankruptcy, special liquidation, civil rehabilitation, corporate reorganization, etc. is filed by another
C) If the customer is subject to dishonored bills or checks, or suspension of bank transactions
D) If the customer is subject to provisional seizure, provisional disposition, auction, disposition for non-payment of taxes and public dues
E) When the financial condition of the customer has deteriorated, or when an objective circumstance that is deemed likely to occur occurs
F) If the customer violates any provision of these Terms
G) If it is discovered that the customer has included false matters in the application for use prescribed in Article 6 or the registration matters prescribed in Article 7, or there is a risk of such
H) If the customer makes threatening words and deeds, acts of violence, acts that damage the reputation and credibility, obstructs business by fraudulent means or force, or makes unreasonable demands.
I) If the customer falls under each item of Chapter 7, paragraph (4)
J) If the customer does not log in to this site for 12 months
K) If there is any other reason that makes it difficult to use this site and this service
(2) JAX Japan may refuse re-registration of a customer whose customer registration has been canceled pursuant to the provisions of the preceding paragraph.
(3) If the customer falls under any of the items in Chapter 9 (1), the customer shall lose the benefit of time for all debts arising from the use of this service and shall immediately pay the full amount of the debt.
Chapter 10: PROHIBITION OF TRANSFER OF RIGHTS AND OBLIGATIONS
The customer shall not transfer the rights and obligations under the usage contract to a third party.
Chapter 11: CONSIGMENT
The Company may outsource all or part of the work related to the provision of this service to a third party without the consent of the customer.
However, in that case, the Company shall be responsible for managing the subcontractor.
3. Contents of this service
Chapter 12: DETAILS AND DCOPE OF USE OF THIS SERVICE
(1) This service is a service that allows customers to make inquiries about products specified by customers ("inquiry products") by accessing this site. However, there may be cases where the specified service cannot be received depending on the customer's PC model, the connection environment of the Internet contract provider, etc.
(2) JAX Japan will send information on products and campaigns to the e-mail address registered by the customer at the time of application for customer registration (if changed after customer registration, it means the address after the change). At the customer's request, the e-mail delivery can be stopped.
Chapter 13: RESTROCTION OF USE
(1) This site and this service are provided for the customer's own use, and use for commercial purposes (providing services, using this site to third parties whether with or without consideration) is prohibited.
(2) customers may not use this service with the same login ID at the same time or with another customer's login ID.
Chapter 14: LOGIN ID AND PASSWORD
(1) A login ID and password will be given to the customer by the method specified by JAX Japan.
(2) Customers are responsible for managing their login IDs and passwords strictly to prevent unauthorized use.
(3) Customers may not disclose, lend, or transfer their login ID to a third party under any circumstances. When a customer discloses, lends, or transfers a login ID to a third party, JAX Japan may claim compensation for damages from the customer and the third party.
(4) JAX Japan may deem that the Company's claim rights and other claims and obligations of JAX Japan, arising in connection with the use of this service and other actions performed by the login ID and password issued to the customer, belong to the customer concerned with the login ID and password. The customer does not raise an objection to this.
(5) Customers shall be responsible for damages caused by inadequate management of login IDs or passwords, errors in use, use by third parties, etc., and JAX Japan shall not be liable unless there is intentional or gross negligence on the part of JAX Japan.
(6) If a customer discovers that login ID or password has been stolen or is being used by a third party, the customer shall immediately notify JAX Japan and follow the instructions of JAX Japan
(7) The responsible of JAX Japan for login IDs and passwords is limited to suspend access to this site using a specific login ID and password. when a customer requests in writing or by e-mail to stop accessing this site with a specific login ID and password,
Chapter 15: STATISTCAL SURVEY
JAX Japan will use statistical figures such as customer usage status, screens, item usage frequency, etc. for statistical surveys aimed at improving this site and this service. Such information shall be analyzed and secondary processed to the extent necessary for statistical research, and the customer shall agree to the statistical research and secondary processing utilization by JAX Japan.
Chapter 16: SUSPENSION OF SERVICE
(1) JAX Japan may temporarily suspend this service at regular intervals or as necessary for maintenance work on the Site.
(2) When performing maintenance work, JAX Japan shall notify the customer in advance to that effect. However, in the event of a failure, maintenance, or emergency maintenance of our terminal equipment, JAX Japan will suspend this service without prior notice to the customer and promptly notify the customer afterwards.
(3) In addition to the provisions of chapter 16 (1) and the preceding paragraph of this article, in the event of interruption or malfunction of the online system due to natural disasters, natural disasters, power outages, etc., or line failures of telecommunications carriers, etc., or it is necessary to temporarily suspend or stop due to technical reasons, the service may be temporarily suspended without prior notice to the customer.
(4) JAX Japan shall not be liable for any damages incurred by customers due to the temporary suspension of this service stipulated in the preceding paragraph.
Chapter 17: ABOLOTION OF THIS SERVICE
(1) JAX Japan may discontinue all or part of the Service at any time.
(2) In the event of abolishing all or part of the Service, the Company shall notify the customers to that effect at least three months prior to the abolition. The notification method can be selected by the Company, and it shall take effect when the notification is sent.
(3) In the event of a natural disaster or other unavoidable event, JAX Japan may terminate this service without prior notice to the customer.
4. Obligations of customers
Chapter 18: CHANGES TO MATTERS TO BE NOTIFIED
(1) If there is any change in the matters notified at the time of customer registration, the customer shall immediately follow the change procedure prescribed by JAX Japan.
(2) JAX Japan shall not be liable for any damages incurred by the customer due to the customer's failure to follow the change procedures set forth in the preceding paragraph.
Chapter 19: CORPORATE CUSTOMERS
(1) A corporate customer shall determine person who uses this site ("user").
(2) Users have the right to use this service by using the login ID and password given to the corporate customer.
(3) The corporate customer shall be responsible for the use of this service by the user (including the use of login IDs and passwords) and shall endeavor to prevent unauthorized use of the Service.
Chapter 20: PROHIBITED ACT
Customers shall not engage in any of the following acts when using this service.
(1) Submitting a false notification when applying for customer registration.
(2) Using this service with another person's name or using a false login ID and password.
(3) Falsification of information on this site.
(4) Sending or writing harmful computer programs, etc. to e-mail addresses related to this service.
(5) Infringing the copyrights of the works posted on this site, or other intellectual property rights included in content related to this service.
(6) Accessing this site by illegal means.
(7) Other acts that JAX Japan deems inappropriate.
5. Obligations of JAX Japan
Chapter 21: MANAGEMENT OF BUSINESS INFOMRATION OF CUSTOMERS
(1) JAX Japan shall not use the customer's business information obtained through the provision of this service for purposes other than the provision of this service and the business activities at JAX Japan. JAX Japan shall implement reasonable safety protection measures to protect against dangers such as loss, destruction, falsification, leakage, etc., and shall manage them strictly.
(2) “Business information” means information related to business that is considered to be confidential (excluding public information) among the information that JAX Japan has obtained in the course of providing this service.
Chapter 22: MANAGEMENT OF PERSONAL INFORMATION
JAX Japan shall handle customers' personal information in accordance with the JAX Japan's prescribed privacy policy.
6. Compensation for Damages and Disclaimer
Chapter 23: DISCLAIMER AND LIMITATION OF COMPENSATION FOR DAMAGES
(1) JAX Japan shall be responsible for this service to the extent stipulated in these Terms. JAX Japan shall not be held responsible for any matters for which it is not guaranteed, for which it is not responsible, or for which the customer is responsible in each provision of these terms.
(2) JAX Japan shall be responsible for compensating for damages limited to ordinary damages that have directly and actually occurred in the event that damages are caused to customers in connection with the Service due to reasons attributable to JAX Japan.
Chapter 24: FPRCE MAJEURE
JAX Japan promptly notify the customer in the event of a delay in the delivery of the product for which the customer inquired using this service or an impossibility of delivery due to natural disasters, laws and regulations, guidance from government agencies, or other reasons not attributable to JAX Japan. If the customer, however, suffers damage due to the above reasons, JAX Japan shall not be held responsible for any damage caused to the customer.
Chapter 25: INTERET DISCLAIMER
(1) When customers use this site and this service to view information or receive services, customers shall comply with these terms and conditions, comply with legal obligations, and do so at their own responsibility.
(2) JAX Japan will strive to improve the quality of information and services, but regarding the information and products posted on this site, its safety, accuracy, certainty, usefulness, purposefulness, up-to-dateness, legality, and morality, performance and results are not guaranteed.
(3) When customers access links to other websites or resources from Any Time, or if third parties provide links to Any Time on other websites or resources, JAX Japan do not control such other websites or resources. JAX Japan is not responsible for the availability of such other websites or resources. In addition, JAX Japan will not be held responsibility for any damage whether direct or indirect caused by or related to content, advertisements, products, services, etc. included in such other websites or resources or available on such other websites or resources.
(4) JAX Japan shall not be held responsible for non-delivery of inquiries due to troubles on the Internet, failure to send e-mails, and damages resulting therefrom.
(5) JAX Japan shall not be held responsible for any failures resulting from the use of this site and this service in ways other than normal usage.
7. Miscellaneous
Chapter 26: INTELLECTUAL PROPERTY RIGHT
(1) The customer understands and acknowledge that all intellectual property rights such as copyrights related to the design of this site, product information posted on this site, screens that post product information, etc., and other services are important property belonging to JAX Japan, and that customers do not have any rights to this intellectual property.
(2) Customers may not reproduce, transmit, post, or make available to a third party any information (including image information) obtained through the use of this service without the prior written consent of JAX Japan.
Chapter 27: REVISION OF PRICES, SPECIFICATION, ETC.
Customers acknowledge that the prices and specifications of products, etc. listed on this site are subject to change without notice, or that handling may be discontinued.
Chapter 28: CONSULTATION
If there is any objection or doubt regarding the interpretation of these terms, or if matters not set forth in these terms arises, JAX Japan and the customer shall discuss in good faith and try to resolve the matter amicably.
